GETTING STARTED

Company Formation in Portugal, Handled Start to Finish

Setting up a company in Portugal involves more than filling in a form. It means choosing the right legal structure, completing company registration in Portugal correctly, and staying compliant once the company exists. As your company formation lawyer in Portugal, we handle the whole process, not just the paperwork on day one. Good Portugal company incorporation doesn't end at the certificate. It's the foundation for whatever your business does next.

THE PROCESS

How to Register a Company in Portugal

Whether you're opening a company in Portugal for the first time or expanding an existing business, here's what the process actually involves, step by step.

01

Choosing Your Legal Structure

Most foreign entrepreneurs incorporate as a Lda (private limited company), though a Sociedade Anónima or sole trader status may suit larger or simpler projects. We help you pick the structure that fits your business, not just the fastest option. See the full breakdown below.

02

Empresa Online vs Empresa na Hora

There are two main routes to incorporate. Empresa Online lets you register digitally, usually within one to two days, using a digital signature. Empresa na Hora is an in person, on the spot registration desk, where founders (or a representative with power of attorney) sign and register in a single visit.

03

Pre-Registration Requirements — NIF, Company Name & CAE Code

Every shareholder and director needs a Portuguese NIF before incorporation. You'll also need a company name, either pre-approved from the official registry or submitted for custom approval, and a CAE code identifying your business activity.

04

Post-Registration Obligations — RCBE, Accountant & Social Security

Once your company exists, the obligations start. You must declare beneficial ownership (RCBE) within 48 hours, appoint a certified accountant (a legal requirement, not optional), and register for tax and Social Security within 15 days. We set all of this up for you, not just the incorporation itself.

YOUR STRUCTURE

Business Structures in Portugal — Lda, SA & Sole Trader

Sociedade por Quotas (Lda) — Symbolic Minimum Capital

The Lda is the most common structure for small and medium businesses in Portugal. Minimum share capital is symbolic, from around €1 to €2 per quota, not the €5,000 some older sources still quote. It requires at least two shareholders, or one for a Sociedade Unipessoal.

Sociedade Anónima (SA) for Larger Businesses

An SA suits larger operations or businesses planning to raise investment. It requires a minimum share capital of €50,000 and at least five shareholders.

Sole Trader (Empresário em Nome Individual)

No minimum capital, no separate legal entity, and unlimited personal liability. A simple option for individual entrepreneurs starting small.

Branch or Subsidiary in Portugal for Foreign Companies

Already have a company abroad? You can register a branch or subsidiary in Portugal instead of starting from scratch. This requires your parent company's incorporation documents and a board resolution authorising the Portuguese entity.

COMPANY VS VISA

Company Formation vs the D2 Entrepreneur Visa — Which Do You Need?

Do You Need a Visa to Register a Company in Portugal?

No, not to register the company itself. EU and EEA citizens can incorporate and run a Portuguese company freely. Non-EU citizens can also incorporate without a visa, but if you intend to move to Portugal and manage the business here as a resident, you'll typically need a D2 Entrepreneur Visa alongside it.

When Company Formation Alone Is the Right Choice

If you're expanding an existing business into Portugal, opening a branch, or investing without relocating, company formation on its own is usually all you need. If your goal is also to live in Portugal and run the business day to day, the D2 Visa is the piece that makes that legal. We handle both, and we'll tell you honestly which one your situation actually calls for.
